These Terms and Conditions (“Terms”) govern the purchase and use of all deliverables provided by Mellonne (“Mellonne”, “Company”, “we”, “us”, or “our”), including but not limited to test smart cards, software, tools, hardware, training, and consultancy services (collectively, the “Deliverables”).
By purchasing, accessing, or using any Deliverables, you (“User” or “Customer”) agree to be bound by these Terms.
If you do not agree to these Terms, you must not purchase or use the Deliverables.
1. Definitions
Deliverables: All products and services provided by Mellonne, including test cards, software tools, hardware, documentation, training, and consulting services.
Test Cards: Smart cards produced and sold by Mellonne for testing acquiring and payment services within financial institutions.
Software: Any software, application, tool, or digital service provided as part of the Deliverables.
User / Customer: Any individual or legal entity purchasing or using the Deliverables.
Agreement: Any commercial agreement, order form, quotation, or statement of work entered into between Mellonne and the Customer.
Fees: The amounts payable by the Customer for the Deliverables, as defined in the applicable Agreement.
2. Acceptance of Terms
By purchasing or using the Deliverables, the Customer confirms that they have read, understood, and accepted these Terms.
These Terms apply in addition to any specific Agreement, unless expressly stated otherwise.
In the event of a conflict, the terms of the applicable Agreement shall prevail.
3. Orders, Pricing, and Payment
Order Acceptance: All orders are subject to acceptance by Mellonne. We reserve the right to refuse any order at our discretion.
Pricing: Prices are subject to change unless otherwise agreed in writing.
Payment Terms: Fees must be paid in accordance with the terms specified in the applicable Agreement or invoice.
Taxes: Prices are exclusive of applicable taxes, duties, or levies, unless otherwise stated.
4. Shipping and Delivery (Test Cards)
Shipping Terms: Test Cards are shipped under CPT (Carriage Paid To) terms, in accordance with Incoterms® 2020.
Delivery Times: Delivery times are estimates only and may vary depending on destination and carrier.
Risk Transfer: Risk transfers to the Customer upon shipment.
Liability: Mellonne is not responsible for delays, loss, or damage caused by carriers.
5. Returns and Refunds (Test Cards Only)
Return Period: Test Cards may be returned within 7 days of delivery.
Conditions: Returned Test Cards must be unused, unaltered, and in their original packaging.
Exclusions: No returns will be accepted for used, damaged, or modified Test Cards.
Process: To initiate a return, contact testcards.order@mellonne.com.
Unless expressly stated otherwise, all other Deliverables are non-refundable.
6. Usage Restrictions (Test Cards)
Purpose: Test Cards are provided strictly for testing and validation purposes.
Compliance: The Customer must use Test Cards in accordance with provided documentation and applicable laws.
Prohibited Use: Test Cards must not be used for unlawful, fraudulent, or unauthorized activities.
Responsibility: The Customer is responsible for proper handling and safeguarding of Test Cards.
7. Software License
7.1 Software License
Mellonne grants the Customer a non-exclusive, non-transferable, revocable license to use the Software solely for the purpose defined in the applicable Agreement.
7.2 License Restrictions
Unless expressly authorized in writing, the Customer shall not:
Copy, modify, or distribute the Software
Reverse engineer, decompile, or disassemble the Software
Sublicense, rent, or transfer the Software
Remove proprietary notices or labels
7.3 Ownership
All intellectual property rights in the Software remain the exclusive property of Mellonne.
7.4 Updates and Support
Mellonne may provide updates or upgrades at its discretion.
Support services are provided only if expressly agreed in writing.
7.5 Warranty Disclaimer
The Software is provided “as is”, without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
7.5 Limitation of Liability (Software)
Mellonne’s liability relating to the Software shall not exceed the Fees paid for the Software.
8. Warranties and Disclaimers
Test Cards Warranty: Test Cards are warranted to be free from material defects for one (1) year from delivery, excluding misuse or unauthorized modifications.
General Disclaimer: Except as expressly stated, Deliverables are provided “as is”.
No Guarantee: Mellonne does not guarantee uninterrupted operation, error-free performance, or suitability for a specific regulatory outcome.
9. Limitation of Liability
To the maximum extent permitted by law:
Mellonne’s total liability shall not exceed the Fees paid for the relevant Deliverables.
Mellonne shall not be liable for indirect, incidental, or consequential damages, including loss of profit, business interruption, or data loss.
10. Intellectual Property Rights
All intellectual property rights related to the Deliverables, including trademarks, software, documentation, and content, remain the exclusive property of Mellonne.
No rights are granted except as expressly stated in these Terms.
11. Data Protection
Mellonne processes personal data in accordance with applicable data protection laws.

12. Governing Law and Jurisdiction
These Terms are governed by the laws of France.
Any dispute shall be subject to the exclusive jurisdiction of the courts of Aix-en-Provence, France.
13. Changes to the Terms
Mellonne may update these Terms from time to time.
Updated Terms will apply upon publication on our website.
Continued use of the Deliverables constitutes acceptance of the updated Terms.
